- INTRODUCTION
These Terms and Conditions (“Terms”) govern the use of Omfinitive Limited’s platforms, services, and related content, including:
- Omfinitive HR Platform – providing human resource management, recruitment, onboarding, performance tracking, and compliance functions.
- Omfinitive Document Holder – secure document storage, management, and retrieval system.
- Omfinitive Project Management – tools for planning, executing, and monitoring projects, including collaboration features.
By accessing or using any Omfinitive platform, you (“User”, “You”) agree to these Terms. If you do not agree, you must not use the platforms.
- DEFINITIONS
For clarity in this document:
- “Company” refers to Omfinitive Limited.
- “User” means any person or entity accessing or using the platforms.
- “Platform(s)” refers to Omfinitive HR, Omfinitive Document Holder, and Omfinitive Project Management individually or collectively.
- “Content” includes data, files, text, graphics, software, and any other material accessible via the Platforms.
- “Confidential Information” means any information disclosed between the parties that is not publicly available.
- ACCEPTANCE OF TERMS
Use of the Platforms constitutes full acceptance of these Terms and any applicable policies (including the Privacy Policy, Cookie Policy, and Acceptable Use Policy). These may be updated periodically, and continued use indicates agreement to the updated Terms.
- ELIGIBILITY
- Users must be at least 18 years old and have the legal capacity to enter into binding contracts.
- Organisations registering for access must ensure their authorised users comply with these Terms.
- PLATFORM-SPECIFIC TERMS
5.1 Omfinitive HR Platform
- Users agree to provide accurate employee and applicant information.
- Employers are responsible for obtaining all necessary consents before uploading personal data.
- The Platform must not be used for discriminatory hiring practices, unlawful termination, or any HR process prohibited by law.
- We perform reasonable due diligence on data handling to maintain compliance with employment and data protection laws in the UK and Ireland.
5.2 Omfinitive Document Holder
- Users must ensure uploaded documents do not contain unlawful or infringing material.
- The Company applies secure encryption and access control but does not guarantee absolute security against all threats.
- You are responsible for maintaining copies of your documents outside of the platform.
5.3 Omfinitive Project Management
- Information shared on the platform must be accurate, lawful, and relevant to the project.
- We may monitor project content to ensure compliance with these Terms.
- Users are responsible for respecting intellectual property rights when uploading or sharing project materials.
- USER RESPONSIBILITIES
You agree:
- Not to engage in unlawful, fraudulent, or harmful activity.
- To protect your login credentials and notify us immediately of any unauthorised use.
- To comply with all applicable laws, including UK and Irish data protection and employment laws.
- INTELLECTUAL PROPERTY
- All intellectual property rights in the Platforms belong to Omfinitive Limited.
- Users may access and use the Platforms for lawful business purposes only.
- Copying, reverse-engineering, or distributing the Platforms without permission is prohibited.
- FEES AND PAYMENT
Where applicable, fees for the use of the Platforms are set out in the relevant service agreement or subscription plan. Clients must ensure timely payment following the agreed terms. Failure to make payment may result in suspension or termination of access to the Platforms. All fees are exclusive of VAT and other applicable taxes, which will be added to invoices at the prevailing rate.
- DATA PROTECTION
- Our handling of personal data is governed by our Privacy Policy.
- We comply with the UK Data Protection Act 2018, UK GDPR, and other applicable laws.
- SUSPENSION AND TERMINATION
We may suspend or terminate user accounts without notice if:
- The Terms are breached.
- The Platform is used for unlawful purposes.
- Required by law or regulatory order.
- LIMITATION OF LIABILITY
Omfinitive Limited shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, data, or business opportunities, arising from or in connection with the use of the Platforms, even if advised of the possibility of such damages. Our total liability for any claim under these Terms shall be limited to the total amount paid by the client for the services in the 12 months preceding the claim. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or other liabilities which cannot be excluded under applicable law.
- CONFIDENTIALITY
- Users must treat all non-public information obtained via the Platforms as confidential.
- This obligation survives termination of access.
- DISPUTE RESOLUTION & GOVERNING LAW
These Terms are governed by and construed following the laws of England and Wales. Any disputes arising under or in connection with these Terms will be subject to the exclusive jurisdiction of the courts of England and Wales.
